1. Acceptance of Terms

2. Services

West Edge Marketing provides digital marketing services, which may include but are not limited to:

Google Ads campaign setup and management

Lead generation systems

Landing page design

Funnel creation

Performance reporting

Call tracking and lead qualification support

Specific deliverables, timelines, pricing, and scope are defined in a separate agreement, proposal, or invoice agreed upon by both parties.

3. No Guarantee of Results

You acknowledge and agree that:

Marketing results are not guaranteed

Lead volume, cost per lead, conversion rates, revenue, and ROI vary based on factors outside our control, including but not limited to market conditions, competition, budget, client responsiveness, and sales process

West Edge Marketing does not guarantee profits, sales, or business success

Past performance does not guarantee future results.

4. Client Responsibilities

You agree to:

Provide accurate and timely information required to perform services

Respond to communications in a reasonable timeframe

Maintain ownership and responsibility for your business operations, sales processes, and customer interactions

Comply with all applicable laws, including advertising, consumer protection, and data privacy laws

Failure to do so may impact performance, for which West Edge Marketing is not liable.

5. Payments and Fees

All fees are due as outlined in your agreement or invoice

Payments are non-refundable unless otherwise stated in writing

Late or failed payments may result in suspension or termination of services

Ad spend paid to third-party platforms (e.g., Google) is separate from our service fees and is the client’s responsibility.

6. Intellectual Property

All materials created by West Edge Marketing remain our intellectual property until full payment is received

Upon full payment, the client is granted a limited, non-transferable license to use deliverables for their business

You may not resell, redistribute, or modify our proprietary systems, processes, or materials without written consent

7. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the engagement, except where required by law.

8. Third-Party Platforms

West Edge Marketing may integrate or rely on third-party platforms such as Google, CRM tools, call tracking software, or automation tools. We are not responsible for:

Platform outages or policy changes

Account suspensions imposed by third parties

Data loss or errors caused by third-party services

9. Limitation of Liability

To the maximum extent permitted by law:

West Edge Marketing shall not be liable for indirect, incidental, special, or consequential damages

Total liability shall not exceed the amount paid to West Edge Marketing in the three (3) months preceding the claim

You agree that you use our services at your own risk.

10. Indemnification

You agree to indemnify and hold harmless West Edge Marketing from any claims, damages, losses, or expenses arising from:

Your business practices

Misrepresentation of your services

Violation of laws or third-party rights

Your use of leads or advertising content

11. Termination

We reserve the right to terminate or suspend services at our discretion if:

These Terms are violated

Payments are not made

We determine the engagement poses legal, ethical, or reputational risk

Termination does not waive payment obligations already incurred.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of British Columbia, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our website or services constitutes acceptance of the updated Terms.
